This End User License Agreement ("Agreement") governs the use of the internal software application known as WinterSky Internal Financial Reports (the "Application"), which is developed, owned, and operated by WinterSky Inc. ("WinterSky," "we," "us," or "our"), a Washington corporation with its principal place of business in Snohomish County, Washington. This page is published at finreports.winterskyinc.com/eula in order to satisfy platform requirements of third-party services to which the Application connects.
By using the Application, you acknowledge that you have read this Agreement, that you understand it, and that you agree to be bound by its terms. If you do not agree to these terms, you are not permitted to use the Application.
The Application is a private, internal-use software tool. Its sole function is to retrieve accounting records belonging to WinterSky Inc. from the company's own QuickBooks Online account, by means of the Intuit QuickBooks Online API, and to produce internal financial, management, and tax-compliance reports from those records, including reports used in the preparation of Washington State sales tax remittances.
The Application is not a commercial product. It is not sold, licensed, distributed, marketed, or otherwise made available to the public or to any person or entity outside of WinterSky Inc. It is not listed on the Intuit App Store or on any other application marketplace, and there is no mechanism by which a member of the public could obtain or use it.
Use of the Application is limited strictly to the owners, officers, employees, and specifically authorized agents of WinterSky Inc. acting in the course of their duties for the company. No other person is authorized to access or use the Application for any purpose. Access to the Application and to the credentials it uses is controlled by WinterSky Inc. management.
Subject to the terms of this Agreement, WinterSky Inc. grants to each authorized user a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the internal business purposes of WinterSky Inc. This license conveys no ownership interest of any kind. WinterSky Inc. reserves all rights not expressly granted herein.
Authorized users shall not: (a) use the Application for any purpose other than WinterSky Inc. business; (b) provide access to the Application, its output, or its credentials to any third party; (c) use the Application to access any QuickBooks company file other than that of WinterSky Inc.; or (d) use the Application in any manner that violates the Intuit Developer terms of service or any applicable law or regulation.
The Application connects to services operated by Intuit Inc. Use of those services is subject to Intuit's own terms and policies, which are separate from this Agreement. WinterSky Inc. is solely responsible for its use of the Intuit API in connection with the Application.
The Application accesses only accounting data that belongs to WinterSky Inc. The collection, use, storage, and protection of that data are described in our Privacy Policy, which is incorporated into this Agreement by reference.
The Application is an internal tool provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Reports produced by the Application are for internal reference and are subject to verification against the accounting system of record.
To the maximum extent permitted by law, WinterSky Inc. shall have no liability to any user of the Application for any indirect, incidental, special, or consequential damages arising out of or relating to the use of the Application. Because the Application is used only by WinterSky Inc. for its own affairs, all risk associated with its operation is borne by WinterSky Inc.
WinterSky Inc. may modify, suspend, or permanently discontinue the Application, or revoke any user's access to it, at any time and for any reason, without notice. Sections 6 through 11 of this Agreement survive any termination.
This Agreement is governed by the laws of the State of Washington, without regard to its conflict of laws principles.
WinterSky Inc. may revise this Agreement from time to time. The current version will be posted at finreports.winterskyinc.com/eula, and the "Last updated" date above will reflect the most recent revision.
